Gridder

Terms of Use

Last updated: 23 October 2026

1. Purpose and scope

1.1 These terms (the Terms) govern your access to and use of Gridder. "Gridder" is the service operated by Feesorted Limited, a company registered in England and Wales with number 17201366 and registered office at Second Floor Flat East, 44 Regents Park Road, London, England, NW1 7SX. In these Terms "we", "us" and "our" mean Feesorted Limited, and "you" and "your" mean the person who accesses Gridder and, where that person acts for a Group, the Group as well.

1.2 Gridder turns collateralised loan obligation offering documents into structured data. It does so by automated means, including artificial intelligence, and the result can be wrong. Sections 7 to 9 and the Data Disclaimer and No-Reliance Notice set out what that means for you. Please read them before you rely on anything Gridder shows.

1.3 Gridder is for professional use only. It is not available to consumers. We decide who may use it.

1.4 These Terms are read together with the following documents, each of which forms part of the agreement between you and us:

1.5 If these Terms conflict with a signed Master Subscription Agreement between us and your Group, section 3 applies.

2. Definitions

In these Terms:

3. Master Subscription Agreement and order of precedence

3.1 If your Group has signed a Master Subscription Agreement with us (an MSA), the MSA governs the Group's use of Gridder. If these Terms conflict with the MSA, the MSA prevails, with one exception: the Data Disclaimer and No-Reliance Notice always applies and is not displaced by anything in the MSA, in an order or in any other document, unless a clause of the MSA expressly refers to it by title and says that it is varied.

3.2 These Terms continue to apply to each individual User's access, including the acceptance requirements in section 4, except to the extent the MSA deals with the same subject.

3.3 If no MSA has been signed, these Terms, the Data Disclaimer and No-Reliance Notice, the Acceptable Use Policy and the order or invitation under which the Group received access are the whole agreement for the use of Gridder.

3.4 We do not accept any terms that you or your Group present, including terms in a purchase order, a procurement portal or a supplier questionnaire, unless an authorised signatory of ours signs a document that says it varies these Terms.

4. Acceptance and versioning

4.1 You must accept these Terms and the Data Disclaimer and No-Reliance Notice before you can use Gridder. Acceptance is by clickwrap: when you sign in, we show you the current version of each document and you must tick the box and select the button that records your acceptance. If you do not accept, you cannot use Gridder and you should not attempt to do so.

4.2 We record each acceptance. The record includes your User identifier, the document and version number you accepted, the date and time, and your IP address and user agent. We keep that record as evidence of agreement and for the period stated in the Privacy Notice.

4.3 Each document has a version number and a date. When we publish a new version, we may require you to accept it at your next sign-in, after which your access continues. Until you accept the new version you cannot use Gridder. Your continued use of Gridder after a new version takes effect also means that you accept it. Where practicable we will tell Admin Users of a material change in advance, normally at least 30 days before it takes effect, but we may use a shorter period or none where needed for legal, regulatory or security reasons, to correct an error, or because the change is not adverse to you.

4.4 Earlier versions are kept and remain available to you on request to legal@getgridder.com, so that you can see what applied at any past date.

4.5 If you use Gridder through the Excel add-in, the data API or the MCP server on behalf of a User who has not accepted the current version, we may suspend that access until acceptance is recorded. Where a Connector is used by software, the Group is responsible for ensuring that each User who benefits from it has accepted the current version.

4.6 By accepting you confirm that you have read and understood these Terms, including sections 7 to 9 (Data risk, no advice and no offer) and sections 23 and 24 (Disclaimers and liability).

5. Eligibility and professional use

5.1 Gridder is for professional use only. You may use it only if you:

  1. are acting in the course of a business, profession or trade and not as a consumer;
  2. are, or work for, a professional investor, asset manager, bank, broker, adviser, administrator, trustee, rating or analytics function, law firm or similar business that has legitimate need for information about collateralised loan obligations;
  3. have the knowledge and experience to read and assess offering documents and to judge what weight, if any, to give to a summary of them;
  4. are at least 18 years old and have legal capacity; and
  5. are not prohibited by any law or sanction from receiving the service.

5.2 We may ask you or your Group to confirm your status and may refuse or end access if we are not satisfied.

5.3 Gridder is not directed at, and is not intended for use by, persons who would be retail clients or consumers. You must not give access to such persons.

5.4 Gridder is operated from the United Kingdom. You are responsible for deciding whether you may lawfully use it in your country. We do not represent that the Data is suitable or available for use in any particular jurisdiction.

6. Accounts, Groups and Admin Users

6.1 You can have an Account if an Admin User of a Group, or we, invite you by email, or if we approve your application for one where we offer that. We may accept or decline any application at our discretion, and may ask for information about you and your business before or after opening an Account. An invitation is personal to the invited individual and cannot be transferred.

6.2 When you accept an invitation or apply for an Account you must give accurate information. You must keep your credentials confidential, choose a strong password, not share your Account with anyone and tell us at support@getgridder.com without delay if you believe your Account has been compromised.

6.3 You are responsible for all activity that takes place under your Account, except activity that follows our own failure to protect credentials we hold.

6.4 A Group acts through its Admin Users. If you act as an Admin User, you confirm that you have authority to bind the Group to these Terms, to the Subscription and to the Fees, to invite and remove Users, to create and revoke Connectors, and to receive notices for the Group. We may rely on instructions from an Admin User as the Group's instructions without further enquiry.

6.5 The Group is responsible for:

  1. choosing Admin Users and keeping that list current;
  2. ensuring that every User it invites meets the eligibility requirements of section 5;
  3. removing a User promptly when that individual leaves or no longer needs access;
  4. ensuring that Users comply with these Terms and the Acceptable Use Policy, and being liable for their acts and omissions as if they were its own; and
  5. staying within the seats, products and limits in its Subscription. Seats are pooled across the Group and are not tied to a particular individual, but one seat may not be used by more than one person at a time.

6.6 We may suspend or remove an Account, or revoke a Group's access, if we reasonably consider that the invitation was made without authority, the User is not eligible, or the Account has been misused.

6.7 A Group's Admin Users can see usage information for the Group, including which Users used which Channel, when, and how much data was transferred. By using Gridder you acknowledge this.

6.8 The Group's Admin Users can access and remove Private Documents uploaded by the Group's Users. A User's work email address and name are visible to the Group's Admin Users.

7. The central risk: the Data may be wrong

7.1 All Data is produced automatically. Gridder produces Data from Source Documents by automated means, including artificial intelligence. A person does not read or approve the Data line by line before you see it.

7.2 As a result the Data may be, in whole or in part:

  1. inaccurate, including numbers, dates, percentages, ratings, margins, fees, triggers or definitions that differ from the Source Document;
  2. incomplete, including missing fields, missing tranches, omitted conditions or omitted exceptions;
  3. out of date, including because a Source Document has been amended, supplemented, refinanced, redeemed or replaced, or because it describes a position as at a past date;
  4. mis-attributed, including a value shown against the wrong tranche, the wrong class, the wrong section or the wrong page;
  5. mis-quoted, including a quotation or highlighted box that does not correspond to the value, or that is truncated or altered;
  6. wrongly structured, including values placed under the wrong field or a field labelled in a way that does not match the Source Document's own wording; or
  7. inconsistent between runs or versions, because the same Source Document may be processed again and produce a different result.

7.3 The Data is indicative only. It is not an official record of any transaction. The authoritative text is always the Source Document and the applicable transaction documents, as amended from time to time, and any notices, reports and agreements that supplement them.

7.4 You must verify. Before you use any Data for any purpose that matters, including investment, credit, valuation, trading, compliance, risk, accounting, reporting, modelling, legal or advisory decisions, you must check it against the Source Document and the applicable transaction documents. The source page, quotation and highlighted box shown next to each value are there to help you do that quickly. They are navigation aids and they are themselves produced automatically, so they too may be wrong.

7.5 You must not rely on the Data. You acknowledge that you have read the Data Disclaimer and No-Reliance Notice, that it forms part of the agreement between us, and that you have not relied and will not rely on any statement, number, quotation or representation produced by Gridder as being accurate, complete or current.

7.6 You must not pass Data on to anyone in a way that suggests it is verified, approved or complete, and where you share any result inside your own organisation you must make clear that it was produced automatically and has not been verified against the Source Document.

7.7 A reported or corrected error does not mean that other Data is correct. If you notice an error, please tell us through the Feedback function or at hello@getgridder.com so that we can consider it. We have no obligation to correct any error or to do so by a particular time, except as an MSA expressly says.

7.8 Our not having detected an error in the Data, and any check, test, score or statistic we may mention or display, do not mean that the Data is accurate. No such statement is a warranty or a representation on which you may rely.

8. No advice

8.1 Gridder is information software. We do not give investment advice, credit advice, legal advice, tax advice, accounting advice or any other advice, personal recommendation or opinion about any security, instrument, issuer, tranche, transaction or strategy. Nothing in Gridder, in any Data, in any support communication or in any training material is advice or a recommendation.

8.2 We do not take into account your objectives, circumstances or needs. The inclusion of an instrument in Gridder does not mean it is suitable for you or anyone else.

8.3 We do not issue credit ratings and do not perform the role of a credit rating agency. Any rating that appears in Data is a rating stated in the Source Document or derived from it by automated means, may be inaccurate or out of date and is not our rating or a recommendation.

8.4 Gridder is not a benchmark, index, price source or valuation, and it is not a regulated data service. No value in Gridder is a price or a quotation at which anyone may deal.

8.5 Feesorted Limited is not authorised or regulated by the Financial Conduct Authority for what Gridder does, which is the provision of information software. Gridder is not a regulated activity. You are responsible for obtaining advice from suitably authorised and qualified professionals where you need it.

9. No offer

9.1 Gridder does not make, and is not, an offer or invitation to buy, sell, subscribe for, underwrite or otherwise deal in any security or financial instrument, and nothing in Gridder is a financial promotion, a prospectus, an advertisement or a solicitation.

9.2 Source Documents are published by third parties and may themselves be subject to selling restrictions. Having access to Data derived from a Source Document does not entitle you to participate in any offering and does not mean that you may lawfully do so. You are solely responsible for complying with the selling restrictions and any other legal restrictions that apply to you.

9.3 We are not a party to any transaction that you may enter into, and we have no role in its negotiation, execution, settlement or administration.

10. The service and its three Channels

10.1 We provide Gridder to Groups that have a Subscription. Depending on the products and options in the Subscription, a User may access Gridder through the following Channels.

  1. Website. The website at getgridder.com includes the Webview grid, Deep Dive (fields shown next to the Source Document), Connectors, Documents, User group, Billing, Account and Feedback pages.
  2. Excel add-in. The add-in provides GRIDDER functions that return Data into a spreadsheet.
  3. Data API and MCP server. Software can request Data using a Connector, which is a group API key that may be bound to specified IP addresses and which is subject to rate limits.

10.2 Products, such as European CLO data and any later loan or US products, are unlocked by Subscription. A product that is described as in development or planned is not part of the service until we say so, and we may withdraw or change such a product.

10.3 Rate limits, seat limits and other usage limits apply and we may change them at any time. Usage is logged per request, including the User, time, Channel and the amount of data transferred. We may use those logs to enforce limits, to bill, to protect Gridder and to investigate misuse.

10.4 The Excel add-in and the data API deliver the same Data that is available on the website. They are subject to the same risks described in section 7, and a value arriving in a spreadsheet cell or an API response is no more reliable than the same value displayed on the website.

10.5 If you build any model, workflow, report, scorecard or automated process that uses Data, you are responsible for validating the design and results, for testing it and for the consequences of using it. Automated use does not reduce your duty to verify against the Source Document.

10.6 We may change the design, features, fields, labels, structure and appearance of Gridder and of the Data at any time, including in a way that changes what a function or an API request returns. We may also withdraw, suspend or replace any feature, field, Channel or product. We will use reasonable efforts to give warning of a material change that would break a published function or request format, but we are not obliged to do so or to maintain any format, field or feature indefinitely.

11. Licence to use Gridder and the Data

11.1 Subject to these Terms and to payment of the Fees, we grant the Group a non-exclusive, non-transferable, non-sublicensable, revocable licence, for the period of its Subscription, to permit its Users to access and use Gridder and the Data through the Channels, solely for the Group's own internal business purposes.

11.2 Internal business purposes include analysing the Data, comparing it with Source Documents, incorporating individual Data values into your own internal analysis, models and work product, and sharing your own work product within the Group, provided that you comply with section 12.

11.3 The licence is limited to the products, seats and Channels in the Subscription. A licence in respect of Private Documents is dealt with in section 14.

11.4 We reserve every right not expressly granted. Nothing in these Terms transfers to you any Intellectual Property Right in Gridder or the Data except the licence in this section.

12. Restrictions

12.1 You must not, and must not permit anyone else to:

  1. copy, extract, harvest, mine, scrape, crawl or systematically download Gridder, its pages or the Data by any means (including automated tools, scripts, browser automation or repeated API calls) other than through a Channel and within the limits of your Subscription, or in any quantity or manner that is not reasonably required for your internal use;
  2. redistribute, resell, sublicense, publish, rent, lend, syndicate, display or otherwise make available the Data or any substantial part of it to any person outside your Group, whether in raw form, in a derived dataset, in a database, in a product or in a service;
  3. use the Data, in whole or in part, directly or indirectly, to train, fine-tune, evaluate, benchmark, ground, distil or improve any machine learning model, large language model or other artificial intelligence system, or to create a database or product that competes with Gridder, and you must not input Data into any third-party AI service that retains or uses it for such purposes;
  4. use Gridder or the Data to build or support a service that substitutes for Gridder or that is offered to third parties;
  5. attempt to reverse engineer, decompile, disassemble or derive the source code, prompts, models, rules, schemas or methods used in Gridder, except to the extent that the law permits despite this restriction;
  6. circumvent, probe or test the security of Gridder, bypass rate limits, seat limits, IP binding or access controls, or interfere with its operation;
  7. share Account credentials or Connector keys, or use a Connector from addresses other than those it is bound to;
  8. remove or obscure any notice, attribution, source reference or disclaimer, or alter the Data in a way that makes it appear to be something it is not;
  9. use Gridder for any unlawful purpose or in breach of the Acceptable Use Policy; or
  10. use Gridder for the benefit of a person who is not part of the Group.

12.2 You may reproduce a limited number of individual Data values and the quotations that accompany them in your own internal documents and in documents delivered to your own clients, in each case in an insubstantial quantity, with the Source Document identified as the source, and with a statement that the Data was generated by automated means and has not been verified. You may not do so on a scale that could substitute for a subscription.

12.3 We may monitor use for compliance with this section and may use technical means to detect and prevent breaches.

12.4 Breach of this section is a material breach and may cause us loss that damages cannot adequately remedy. We are entitled to seek an injunction or other equitable relief as well as any other remedy.

13. Third-party content and intellectual property

13.1 The Source Documents are created and published by third parties, and the rights in them belong to those third parties or their licensors. We do not own them. The Data derives from them. We do not grant you any right in a Source Document, and your access to Data does not give you a right to copy or distribute the underlying document.

13.2 Where Gridder displays a Source Document, a page or an extract of one, it does so only to allow the Data to be checked. You must use those displays only for that purpose and in accordance with any restrictions that apply to the document itself, including restrictions in the Source Document, in any terms under which it was obtained and in applicable law. You are responsible for ensuring you are entitled to see the Source Document.

13.3 Gridder, its software, design, schemas, rules, field structures, labelling, selection and arrangement of the Data, and the Data as a database, are owned by us or our licensors and protected by Intellectual Property Rights. We own or control the Intellectual Property Rights in the Data to the extent they exist, subject to the rights of the third parties in the Source Documents.

13.4 If you give us feedback, suggestions or corrections, you grant us a perpetual, worldwide, royalty-free, irrevocable licence to use them for any purpose without obligation to you. You must not include in feedback any information that is confidential or personal to a third party, or any content that you are not entitled to share. The Feedback function sends your message and a screenshot, which we keep for 30 days.

13.5 If a third party alleges that Gridder or the Data infringes its rights, or that we are not entitled to display content derived from its documents, we may remove the content or restrict access without liability to you.

13.6 We use third-party service providers, including artificial intelligence providers, to process Source Documents, uploaded documents and their text for us. Third-party tools and links are provided for convenience, and we are not responsible for any third-party website, service or content.

14. Documents you upload

14.1 If your Subscription allows uploading, a User may upload a PDF to the Group's Documents page and choose whether to offer it as a Public Document or to keep it as a Private Document. The following rules apply to every upload. This section summarises the position; the private document upload terms supplied to customers set out the detail and apply to your Group if it uses uploads.

14.2 Private Documents. A Private Document is processed into Data under a private identifier and is visible to every User in the Group, including Admin Users. Other Groups cannot see it, subject to section 14.5.

14.3 Public Documents. If you offer a document for the public list, you give us the licence in section 14.7. We keep the PDF and everything derived from it indefinitely. We may decline to release it, edit it, withdraw it or remove it from view at our discretion, and we have no obligation to publish it. Once released it is visible to other Groups and subscribers, and the licence in section 14.7 survives termination of your Subscription and cannot be revoked.

14.4 Your warranties. You confirm and promise that for each upload:

  1. you are lawfully in possession of the document and entitled to give it to us and to let us process it, including by third-party providers (among them artificial intelligence providers), on these terms;
  2. uploading and processing it does not infringe the Intellectual Property Rights of anyone, breach any confidentiality obligation or any selling or distribution restriction, or breach any law;
  3. it does not contain malicious code or personal data beyond what is incidental to a transaction document; and
  4. if it is confidential, you have told us so and you have authority to disclose it to us on these terms.

14.5 The same document from another source. If the same document (an identical file) is also submitted publicly by anyone, is already in or later enters the public list, or is obtained by us from another source (including an issuer, an exchange, another customer or public sources), we may keep and use our copy and the Data derived from it as a Public Document without restriction, even if your Group uploaded it as a Private Document. Our confidentiality and deletion commitments do not apply to information that is public, that we obtained independently or that we received from a third party.

14.6 Licence for Private Documents. You grant us a non-exclusive, worldwide, royalty-free licence, for as long as we hold the document or Data derived from it, to store, reproduce and process the document (including by automated means and by third-party providers), to generate Data from it, to show the Data to the Group, and to use it for the legal, backup and security purposes in this section.

14.7 Licence for Public Documents. You grant us a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable licence to store, copy, process (including by artificial intelligence), extract, publish and show the PDF, the Data, quotations, page references and boxes derived from it to any subscriber, and to use them to improve Gridder. This licence survives termination.

14.8 Indemnity and risk. You are responsible for what you upload and indemnify us as section 25 says. We make no promise that an upload will be processed successfully, completely or within any time. The risks in section 7 apply fully to Data derived from your uploads.

14.9 We may refuse, quarantine or delete an upload that we reasonably believe breaches this section or the Acceptable Use Policy.

15. Availability, support and maintenance

15.1 We aim to keep Gridder available, but we do not promise that it will be available at all times, uninterrupted, secure or free from errors, delay or viruses. Gridder depends on third-party services which can fail or change. Any availability, response or resolution time that we state is a target and not a commitment.

15.2 We may suspend or restrict access at any time for maintenance, upgrades, security or other operational reasons. Where practicable we will tell Admin Users in advance. No suspension for these reasons entitles you to a refund, credit or other remedy except as an MSA expressly says.

15.3 Support is provided on a reasonable-endeavours basis. We aim to reply to general messages within 5 Business Days; this is a target and not a commitment. No support hours or response times are promised unless an MSA expressly says so.

15.4 We may keep backups, but we make no promise that any particular item will be recoverable. You should keep your own copies of any Data and of any document that you need.

16. Fees and billing

16.1 Fees are payable by the Group as set out in its Order Form or checkout summary, plus VAT or similar taxes where applicable. Fees are payable in the currency stated there (pounds sterling, US dollars or euros), which is pounds sterling unless it states otherwise.

16.2 The Billing page shows the Group's Subscription, seats and invoices. Invoices are payable within the period in the order or, if none, within 30 days of the invoice date. Late amounts bear interest at the rate that applies under the Late Payment of Commercial Debts (Interest) Act 1998, and we may suspend access for non-payment after giving 10 Business Days' notice.

16.3 Fees are non-refundable. The only exception is section 18.4 (a withdrawn product), together with any refund that the law requires. No other ending of a Subscription or part of it, and no suspension, change of Fees, terms or limits, materially adverse change, event outside our control or breach by us, gives rise to a refund, credit or repayment of Fees except where the law requires.

16.4 We may change Fees or the products in a Subscription on at least 30 days' written notice, with effect from the next renewal period. A Group that does not wish to continue at the changed Fees may give notice to end the Subscription before the change takes effect, and that is its only remedy. Ending in this way gives no refund of Fees, except where the law requires.

16.5 The Group must pay all amounts due in full without set-off, counterclaim, deduction or withholding (except any withholding required by law). The Group's billing contact receives invoices and billing notices at the email address it gives us. It is the Group's responsibility to keep that address current.

17. Changes to Gridder and to these Terms

17.1 We may change these Terms from time to time, including to reflect changes in the service, in law or regulation, in our suppliers or in our practices.

17.2 We handle changes as section 4 describes: we publish the new version, give notice to Admin Users where the change is material, and require acceptance at your next sign-in. If you do not accept, you must stop using Gridder, and a Group that does not wish to accept a change that is materially adverse to it may end its Subscription by notice given before the change takes effect, on the terms of section 16.3 (no refund of Fees, except where the law requires). Its Subscription then ends when the change takes effect.

17.3 A change that is required by law, or that is needed urgently to protect Gridder, or that is not adverse to you, may take effect on shorter notice or immediately.

18. Suspension and termination

18.1 We may suspend or restrict access of a User, a Connector or a Group, immediately and without liability, if we reasonably believe that:

  1. there has been or is likely to be a breach of these Terms or the Acceptable Use Policy, including section 12;
  2. access has been obtained or used without authority, or security is at risk;
  3. the Group has not paid undisputed Fees when due;
  4. suspension is needed to comply with law or with the demands of a court, regulator or other authority;
  5. continued access may expose us or others to legal, regulatory or reputational harm; or
  6. we decide to change, withdraw or restructure Gridder or any product, Channel or feature.

We will tell the Admin Users of the reason where it is lawful and practicable to do so. Suspension does not relieve the Group of paying Fees.

18.2 A Group may stop its Subscription renewing by written notice given as its Order Form permits or, if it says nothing, at least 30 days before the end of the then-current period. The Subscription then ends at the end of that period. A Group has no right to end a Subscription early for convenience, and Fees for the period already begun are not refunded (section 16.3).

18.3 Either of us may terminate by written notice if the other commits a material breach which cannot be remedied or which is not remedied within 30 days of a written notice specifying the breach and requiring remedy, or if the other becomes insolvent. Termination by the Group under this section gives no refund of Fees beyond what the law requires (section 16.3). We may terminate immediately if the Group or a User breaches section 12 or section 14.4.

18.4 We may end Gridder or any product, Channel or feature at any time on reasonable notice. If we withdraw a product that a Group has paid for, we will refund the pre-paid Fees for that withdrawn product only, pro rata for the unused part of the period already paid for. That refund is our only liability for ending it, and no other Fees are refunded.

18.5 On termination or expiry: the Group's licence ends; Users must stop using Gridder; the Group must delete Data it obtained other than individual values incorporated into work product permitted by section 12.2 and copies it is required to keep by law; and we may delete the Group's Accounts, Connectors and Private Documents (and Data derived from them) after a reasonable period, subject to section 14, to our backups and to retention in the Privacy Notice. Public Documents are not deleted. The Group should export anything it needs before termination.

18.6 Sections that by their nature should continue (including sections 7 to 9, 12, 13, 14, 18.5, 19 to 26 and 28) survive termination. Termination does not affect rights that have already arisen.

19. Warranties by you

19.1 You and the Group confirm that:

  1. you have authority to accept these Terms;
  2. information you give us is accurate and complete;
  3. you are not the subject of any sanctions or trade restrictions that would make it unlawful for us to provide Gridder to you;
  4. you will comply with all laws that apply to your use, including laws on market abuse, confidentiality, data protection, financial regulation, sanctions and anti-bribery; and
  5. you will use Data only for lawful purposes and will not use it to carry out or support market abuse.

20. Confidentiality

20.1 Each of us must keep confidential the non-public information of the other that is disclosed in connection with Gridder and that is marked or would reasonably be understood to be confidential, use it only to perform or exercise rights under these Terms, and disclose it only to those who need to know and are bound by confidentiality duties, or as required by law.

20.2 This does not apply to information that is public through no breach, was already lawfully known to the recipient, was independently developed or was lawfully received from a third party.

20.3 The Data (other than Data derived from your Private Documents) and the design of Gridder are our confidential information. Private Documents and the Data derived from them are your confidential information while they remain private, but we may handle them as these Terms allow, including as section 14 provides.

20.4 We do not disclose your Private Documents to other Groups, except as section 14 allows for Public Documents. Section 14.5 applies to a document that is or becomes public or is obtained by us from another source.

21. Privacy and cookies

21.1 We handle personal data as the Privacy Notice explains. Personal data includes work email address, name, company if given, password hash, IP address and user agent in logs and terms acceptances, usage logs, group membership and billing contacts. Where a Group sends us personal data of others, or if a data processing addendum is agreed, that addendum applies to the extent it covers the processing.

21.2 Each of us will comply with the UK GDPR, the Data Protection Act 2018 and, where it applies, the EU GDPR.

21.3 We use only strictly necessary cookies (a session cookie, a cookie that marks a browser that has signed in, and one that holds a sign-in code request) and the browser's local storage for display choices. We do not use analytics or advertising cookies. See the Cookie Notice.

21.4 You must not upload or enter personal data into Gridder (including in the Feedback function) beyond what is necessary.

22. Security

22.1 We apply technical and organisational measures that we consider appropriate to the risk. No system is completely secure and we do not warrant that Gridder will be free from unauthorised access, loss or corruption.

22.2 If you discover a vulnerability, report it to support@getgridder.com and do not exploit it, disclose it publicly before we have had a reasonable chance to fix it, or access data that is not yours.

23. Disclaimers

23.1 Gridder, the Data, the Channels and all related materials are provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, conditions and other terms, whether express or implied by statute, common law or otherwise, including any warranty or condition as to:

  1. accuracy, completeness, timeliness, currency, reliability or correctness of the Data, quotations, page references or highlighted boxes;
  2. satisfactory quality, fitness for a particular purpose, merchantability or non-infringement;
  3. uninterrupted, secure or error-free operation; and
  4. the results that may be obtained from use of Gridder.

23.2 We do not warrant that any Source Document is authentic or complete, or that Gridder has found the latest version or all amendments of any document.

23.3 We are not responsible for anything produced by, or any act or omission of, third-party service providers (including artificial intelligence providers), and their output is subject to the same risks as all Data. Any liability we have for them is subject to section 24.

23.4 Nothing in this section 23 limits any right that you have that cannot lawfully be excluded.

24. Liability

24.1 Liability that cannot be excluded. Nothing in these Terms excludes or limits any liability for:

  1. death or personal injury caused by negligence;
  2. fraud or fraudulent misrepresentation;
  3. any liability that cannot lawfully be excluded or limited under English law, including (where applicable) liability under section 2 of the Consumer Protection Act 1987 or for breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982; or
  4. any other liability that the law does not permit us to exclude or limit.

24.2 Subject to section 24.1, we are not liable to you or to the Group, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, for:

  1. any loss arising from your or anyone's use of or reliance on Data, including any investment, credit, trading, valuation, hedging, lending, accounting, compliance or other decision made, delayed or not made;
  2. any inaccuracy, omission, delay or error in the Data or in the display of Source Documents, quotations or boxes;
  3. loss of profit, revenue, business, trading, contracts, anticipated savings, goodwill or reputation, or any trading loss, whether direct or indirect;
  4. any loss of or corruption of data;
  5. any indirect or consequential loss or any special loss; or
  6. any loss caused by events outside our reasonable control, as section 26 describes.

24.3 Subject to section 24.1, our total aggregate liability arising out of or in connection with Gridder and these Terms, in respect of all claims taken together, is limited to the Fees paid or payable by the Group for the 12 months before the first event giving rise to liability. If the Group has not paid any Fees in that period, the limit is £50. Claims by different Users of the same Group count together as one set of claims. The limit applies to everything for which we are responsible, including the acts and omissions of our subcontractors, suppliers and artificial intelligence providers.

24.4 These exclusions and limits apply even if we were told that the loss might occur, and each of them is a separate and independent provision. They apply to the extent permitted by law.

24.5 Reasonableness. You and the Group are businesses and professional investors, not consumers. We have set out the risk in section 7 and in the Data Disclaimer and No-Reliance Notice, the Fees reflect that allocation of risk, you are able to verify the Data against the Source Documents, and you are able to obtain insurance and advice. You agree that the exclusions and limits in these Terms are reasonable for the purposes of the Unfair Contract Terms Act 1977 (to the extent it applies) and fair in the circumstances.

24.6 Each User and the Group agrees that it will bring a claim only against Feesorted Limited and not against any of our directors, officers, employees or suppliers personally, and the exclusions in this section extend to them, which they can enforce under the Contracts (Rights of Third Parties) Act 1999.

24.7 Nothing in this section removes your duty to mitigate loss.

24.8 Time limit for claims. Any claim against us arising out of or in connection with Gridder or these Terms must be notified to us in writing, with reasonable details, within 6 months of the date the claimant became aware, or ought reasonably to have become aware, of the facts giving rise to it, and proceedings must be issued within 12 months of that date. A claim not notified or issued in time is barred to the extent the law allows. This section does not apply to liability under section 24.1.

25. Indemnity

25.1 The Group will indemnify us, and keep us indemnified, against all losses, damages, liabilities, claims, costs and expenses (including reasonable legal fees) arising from a third-party claim, or a regulatory investigation, that results from:

  1. the Group's or any User's breach of section 5, 12, 14.4 or 19;
  2. a document that you upload, including a claim that its upload or processing infringes rights or breaches confidentiality or a selling restriction;
  3. your use of Data in breach of these Terms or contrary to law, including any redistribution of Data;
  4. any misuse of Gridder or breach of the Acceptable Use Policy by the Group or a User; or
  5. a decision or action taken or not taken by you or anyone you supply with Data, in reliance on Data, including a claim by your own clients, investors or counterparties.

25.2 We will tell you of the claim in reasonable time (a delay relieves you only to the extent you are prejudiced), allow you to control the defence on reasonable terms with our reasonable co-operation at your cost, and not agree a settlement admitting liability without your consent, which must not be unreasonably withheld. We may take part with our own counsel at our own cost.

25.3 This section does not apply to the extent that the claim is caused by our fraud.

26. Events outside our control

We are not liable for delay or failure to perform arising from events beyond our reasonable control, including failure of power, telecommunications or any third-party supplier (including hosting, cloud and artificial intelligence providers), change in the availability, terms or output of any supplier, cyber attack, fire, flood, epidemic, strikes, pandemic, war, terrorism, government action, change in law or failure of a Source Document publisher to make documents available.

27. Notices

27.1 Notices to us must be in writing and sent to legal@getgridder.com, with a copy to our registered office at Second Floor Flat East, 44 Regents Park Road, London, England, NW1 7SX for notices of breach, termination or a claim. General queries go to hello@getgridder.com, privacy requests to privacy@getgridder.com and security reports to support@getgridder.com.

27.2 Notices to you are given by email to the Admin Users or the billing contact of the Group, or to a User by email at the address on the Account, or by notice on the website or when you sign in. An email notice is treated as received on the next Business Day after it is sent unless a bounce message is received. A notice on the website is treated as received when posted.

27.3 It is your responsibility to keep contact details current.

28. General

28.1 Entire agreement. These Terms and the documents referred to in section 1.4 are the entire agreement concerning Gridder and replace all prior understandings. Each of us acknowledges that it has not relied on any statement, representation, assurance, forecast, demonstration or warranty (whether made innocently or negligently) that is not set out in them, and that it has no remedy in respect of any such statement. This does not exclude liability for fraud or fraudulent misrepresentation.

28.2 Assignment. You may not assign or transfer your rights or obligations without our written consent. We may assign or transfer ours to a group company or a successor to our business, and may use subcontractors and suppliers, including artificial intelligence providers, to perform our obligations; our responsibility for them is subject to section 24.

28.3 Severance. If a provision is found to be invalid or unenforceable, the rest continues, and the provision will be applied to the maximum extent permitted.

28.4 Waiver. A failure or delay in exercising a right is not a waiver. A waiver must be in writing.

28.5 Third party rights. Except as section 24.6 says, a person who is not a party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.

28.6 No partnership. Nothing creates a partnership, joint venture, agency, trust or employment relationship, and neither of us may bind the other.

28.7 Counterparts and electronic form. Electronic acceptance under section 4 is a valid way to enter into these Terms, and the records we keep are evidence of it.

28.8 Language. These Terms are in English, which prevails over any translation.

28.9 Sanctions and anti-corruption. Each of us will comply with the applicable sanctions and anti-bribery laws in connection with Gridder.

28.10 No set-off. You may not set off or withhold any amount you owe us against any claim you have against us.

29. Governing law and courts

29.1 These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or with Gridder are governed by the law of England and Wales.

29.2 The courts of England and Wales have exclusive jurisdiction over any such dispute or claim, and each of us submits to them. We may, however, seek injunctive or other urgent relief in any court of competent jurisdiction to protect our Intellectual Property Rights or confidential information.

29.3 Before starting proceedings (other than for urgent relief), the Group should raise the matter using the Contact and Complaints process and each side will discuss it in good faith for up to 20 Business Days. This does not extend the time limits in section 24.8.
