Data Disclaimer and No-Reliance Notice
Last updated: 23 October 2026
1. Purpose and scope
1.1 This notice tells you, in plain language, what Gridder's information is and is not. "Gridder" is the service operated by Feesorted Limited, a company registered in England and Wales with number 17201366 and registered office at Second Floor Flat East, 44 Regents Park Road, London, England, NW1 7SX. "We", "us" and "our" mean Feesorted Limited. "You" means anyone who sees or uses Gridder, and the business you act for.
1.2 It applies to everything Gridder shows or delivers: the Webview grid, Deep Dive, the Excel add-in functions, the data API and the MCP server. We call all of that the Data. It includes every value, field, tranche, rating, margin, date, trigger, fee, label, source page reference, quotation and highlighted box.
1.3 It forms part of the Terms of Use and you accept it when you sign in and each time we publish a new version. It also applies to you if you see Data in any other way. It always applies, including where you have signed a Master Subscription Agreement with us, unless that agreement refers to this notice by title and expressly says that it is varied.
1.4 This notice is a statement of fact and of what we ask you to do. It supports, and does not replace, the exclusions and limits in the Terms of Use.
2. The statements
Please read each of the following. By using Gridder you confirm that you understand them and agree to them.
- The Data is produced automatically. It is made from offering circulars, prospectuses, trust deeds and similar documents by automated means, including artificial intelligence. A person does not read or approve the Data line by line.
- The Data may be wrong. It may be inaccurate, incomplete, out of date, mis-attributed (for example, shown against the wrong tranche or the wrong page), wrongly structured, or different from the same document processed on another day.
- The quotations, page references and highlighted boxes may be wrong too. They are there to help you find the passage in the document. They are also produced automatically. A quotation that looks right does not prove that the value next to it is right, and a missing or misplaced box does not prove that the value is wrong.
- The Data is indicative only. It is not an official record of any transaction and not a statement by the issuer, the arranger, the trustee or anyone else about their documents.
- The source document is the only authority. The offering circular, the transaction documents, and every supplement, amendment, notice, report and agreement that goes with them, as in force from time to time, are what count. If anything in Gridder differs from them, they prevail.
- We may not have the latest document. Gridder may be based on an earlier version of a document. It may not reflect amendments, supplements, restructurings, refinancings, redemptions, rating changes, events of default or any other development after the document's date.
- You must check before you use it. If you will use any value for a decision, a valuation, a model, a report, a client communication, a trade, a lending or investment recommendation, a compliance review or any other purpose that matters, you must first compare it with the source document. Doing so is your responsibility and not ours.
- You must not rely on the Data. Do not treat anything in Gridder as accurate, complete, current or fit for your purpose. We do not give you any assurance that you can rely on it, and you agree that you have not relied on any statement made through Gridder or in connection with it.
- No advice. The Data is not investment advice, credit advice, legal advice, tax advice, accounting advice or a personal recommendation. It does not take your circumstances into account. Get advice from professionals who are authorised and qualified to give it.
- No offer. Gridder is not an offer or an invitation to buy, sell, subscribe for or deal in any security, and it is not a financial promotion or a prospectus. Having Data about a document does not mean that you are allowed to take part in an offering.
- No rating, no price, no benchmark. We do not issue credit ratings. A rating that appears in the Data is taken from a document and may be wrong. Nothing in Gridder is a price, a quotation, a valuation, an index or a benchmark, and Gridder is not a regulated data service.
- We are not regulated for what Gridder does. Feesorted Limited is not authorised or regulated by the Financial Conduct Authority for what Gridder does, which is information software.
- No warranty. Gridder and the Data are provided "as is" and "as available". We give no warranty of any kind, express or implied, about accuracy, completeness, timeliness, quality, fitness for a purpose or results, as set out in the Terms of Use.
- You are responsible for your decisions. Any decision to act, or not to act, is yours. You are responsible for the consequences of using the Data, for the models and spreadsheets in which you use it, and for any use you make of it with your own clients or colleagues.
- Our liability is limited. To the extent English law allows, we exclude liability for loss arising from use of or reliance on the Data, including loss of profit, trading losses and indirect or consequential loss, and we cap the liability that remains at the Fees paid or payable for the 12 months before the first event giving rise to liability (or £50 if no Fees were paid in that period), as the Terms of Use say. Any claim must be notified to us in writing within 6 months of your becoming aware of it and proceedings issued within 12 months, as the Terms of Use say. You should plan on the basis that you will bear any loss that results from an error in the Data.
- What we do not exclude. Nothing in this notice or in the Terms of Use excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
- Automated and downstream use. A value in a spreadsheet cell, an API response or an AI assistant's reply that uses the MCP server is exactly as reliable as the same value on the website. If you pass Data to another system, a person or a client, you must make clear that it was produced automatically and has not been verified, and you must not describe it as verified or approved.
- Corrections and checks are not guarantees. If we correct an error, other values may still be wrong. Our not having found an error does not mean that there is none. Any check, test, score or statistic we mention or display is not a warranty or representation and you must not rely on it.
- Documents you upload. Data produced from a document uploaded by a Group is subject to every statement above. We do not check the document and we do not know whether it is complete, genuine or current. How uploaded documents are kept and used, including that Public Documents are kept indefinitely and may be shown to other subscribers, is set out in the Terms of Use.
- Documents are third-party content. The documents belong to the people who published or provided them. Where shown, they are shown to help you check the Data. We give no assurance that a document is authentic or complete, or that it is the latest version.
3. Why this matters
3.1 Offering documents are long and complicated. They use defined terms that change meaning from one section to another, state exceptions and conditions in several places, cross-refer to other documents and are amended after issue. Software, however capable, can misread a definition, take a number from the wrong table, miss a condition or confuse one tranche with another. When that happens the Data will look just as tidy and just as confident as when it is right. You cannot tell from the look of a value whether it is correct.
3.2 For that reason, a value in Gridder is best understood as a pointer that says "look here, this is probably what the document says". It is not a finding that this is what the document says, and it is not a statement or representation by us of any kind.
4. How to check
4.1 Use the source reference shown beside each value to open the page of the document and read the passage in context, including the definitions that it uses.
4.2 Read the whole of any provision that matters to you, not only the quotation, and check for amendments, supplements and notices.
4.3 Where two sources disagree, for example Gridder and a rating agency report, use the source document and, if needed, ask the document's issuer, trustee or your lawyer.
4.4 Keep a record of what you checked and when.
5. Telling us about a mistake
5.1 If you find a mistake, please use the Feedback button on the website, which sends us your message and a screenshot, or write to hello@getgridder.com. Feedback screenshots are kept for 30 days. Please do not include anything personal or confidential that is not needed.
5.2 We will consider what you tell us, but we do not promise to answer, to correct the Data or to do so by a particular time, unless an agreement we have signed with you expressly says so. General replies are aimed for within 5 working days, which is a target and not a commitment.
6. Who this is for
Gridder is for professional use only: it is not for consumers or retail investors. It is intended for professional investors, asset managers, banks, advisers and similar businesses who can read offering documents and assess what weight, if any, to give to a summary of them. If that is not you, you must not use Gridder.
7. Relationship with other documents
7.1 This notice is part of the Terms of Use, which contain the full terms on disclaimers, liability and governing law. If this notice and the Terms of Use differ, the one that gives you less ability to rely on the Data and us less responsibility for it applies, to the extent the law permits.
7.2 This notice is governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction, as the Terms of Use provide.
7.3 For questions about this notice, write to hello@getgridder.com. For legal notices, write to legal@getgridder.com.
